APPLE VACATION "TAKE YOUR BEST SHOT" CONTEST OFFICIAL RULES

Eligibility:

The "Take Your Best Shot" Contest is open to residents of the contiguous 48 United States (including the District of Columbia) who are of legal age or older and have had Internet access prior to October 15, 2007 and are not professional photographers, videographers or cinematographers. The following are NOT eligible to enter the Contest: Owners, employees or agents of vendors providing products and/or services for or in connection with the Contest, including prizes; Shareholders, directors, employees or agents of Apple Vacations, Inc. ("Sponsor") or any of its affiliates; and Members of the immediate family or residents of the same household of any of the foregoing.

Sponsor reserves the right to verify eligibility qualifications and to disqualify any entrant found to be in violation of the Official Rules.

How to Enter:

From 12:01 a.m., Eastern time ("ET") on November 27, 2008 to 11:59 p.m. ET on June 21, 2009, go to www.applevacations.com/bestshot and follow the instructions for entering the Contest and uploading your vacation-themed photograph or video. All entries must be received before 11:59 p.m. ET on June 21, 2009, and will be posted on Sponsor's website through June 21, 2009.

Judging:

The determination of the winner of each of the photograph and video entries is in two steps:

Semi-Finals - Through 11:59 p.m. ET on June 21, 2009, visitors can go to www.applevacations.com/bestshot and follow the instructions to view and vote for their favorite photograph and/or video. Sponsor will judge the entries based upon originality/creativity (30%), production quality (30%), commercial appeal (30%) and fan support (10%), and select two photographs and two videos based on the foregoing criteria. On or about July 1, 2009, four semi-finalists will be selected on posted on our website.

Finals - From 12:01 a.m. ET on July 2 through 11:59 p.m. ET on July 14, 2009, visitors can go to www.applevacations.com/bestshot and follow the instructions to view and vote for their favorite photograph and/or video of the two photographs and two videos selected by the judges based upon the above criteria. The persons submitting the photograph and the video receiving the most votes in the respective category will be the prizewinners. In the unlikely event of a tie, Sponsor will determine the winner based upon the highest score in originality/creativity.

Prize Details: Two grand prize winners will be chosen from the four semi-finalists and will be announced on July 24, 2009. The two semi-finalists each receive a $500 Vacation Certificate. Apple's Vacation Certificates are non-transferable, not redeemable for cash, and valid for one year from date of issue. Certificate not valid on scheduled air packages; winner must travel on charter air from applicable Apple Vacations charter departure cities.

The two grand prize winners will receive a 7 night all-inclusive Apple Vacation for themselves and an adult guest to the Dreams or Riu Resort of sponsor’s choice (either Dreams Punta Cana Resort & Spa, Dreams Cancun Resort & Spa, Riu Palace Pacifico, Riviera Nayarit, or Riu Palace Mexico, Riviera Maya).

Prize trips include charter airfare from an applicable Apple Vacations charter departure city, round-trip airport/hotel transfers, hotel accommodations based on double occupancy including all meals, drinks and non-motorized watersports, and hotel taxes. Departure dates are subject to availability and change/black-out dates apply including Spring Break weeks and 5 days before or after holidays). Winners are responsible for all incidental expenses and governmental taxes and fees. Winners must travel within one year of prize notification or they will forfeit their trip. Prize trips are non-transferable and not redeemable for cash. Winners must have a valid passport to travel.

General:

Sponsor reserves the right, in its sole discretion and without responsibility or liability: (i) to make all decisions concerning eligibility, which decisions shall be final and binding; (ii) to disqualify anyone whom Sponsor determines has been responsible for any tampering with the contest process or is ineligible or otherwise in violation of the Official Rules; and (iii) to suspend, cancel or modify the Contest at any time in the event of any circumstances, which may prevent the Contest from proceeding as planned or which may adversely affect the administration, security, fairness or integrity of the Contest, including without limitation the process by which a winner is selected. All federal, state and local laws and regulations apply. Void where prohibited, taxed or regulated.

Submission of an entry grants Sponsor and its agents the right to publish, adapt, edit and/or modify the entry in any way, and use it in commerce and in any and all media worldwide now known or hereinafter developed, without limitation and without notice or consideration to the entrant. Submission of any entry further constitutes the entrant’s (with his/her her parent’s or guardian’s consent, if applicable) assignment and transfer to the Sponsor of any and all rights, title, and interest in and to the entry, including, without limitation, all intellectual property rights.

Limitation of Liability:

By participating, each entrant (i) agrees to be bound by these Official Rules; (ii) consents to Sponsor's use of his or her name for promotional purposes in any media, without additional compensation unless prohibited by law; and (iii) agrees that, if selected a winner, will be solely responsible for any and all tax liabilities or consequences of accepting, using, misusing or failing to use a prize.

By participating in the Contest, entrants agree that Sponsor and Universal, their respective affiliates, or their respective members, managers, shareholders, directors, officers, employees, agents and other authorized representatives ("Releasees"), are not responsible or liable for: (i) misaddressed, lost, late, ineligible, incomplete or illegible entries, video submissions and documents required of the winner and companion; (ii) any injuries, losses, damages, taxes or expenses of any kind incurred as a result of entrants' participating in the Contest or winning, accepting, taking possession of, or in any manner using, misusing or failing to use a prize; (iv) human or technical error which may occur in processing entries (v) any theft or destruction of, or unauthorized access to, or use or alteration of, any of the entrants' information; or (vi) any and all losses, damages, rights, claims, actions, or expenses (including attorneys' fees and costs) of any kind whatsoever, in connection with the Contest or resulting from entrants' participation therein, and, if a winner, any personal injury, death, and/or property damage, for winner a winner agrees, by participating in the Contest, to fully and forever release and hold harmless each of the Releasees from each of the foregoing.

Any and all disputes, claims and causes of action arising out of or connected with the Contest, or the prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorney's fees. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of the Contest should virus, bugs, non-authorized human intervention or other causes beyond the control of sponsor corrupt or impair the administration, security, fairness or proper play of the Contest. In such event, Sponsor may award the prize from all eligible entries received up to the date of cancellation or suspension. Sponsor is not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions. Sponsor may prohibit any person from participating in the Contest or winning the prize if, in its sole discretion, it determines that such person is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives.

Winners' List:

Winner's name will be posted online at www.applevacations.com/bestshot on or about July 24, 2009 and may also be obtained on or after that date by sending a self-addressed stamped envelope to "Take Your Best Shot" Contest, c/o Apple Vacations, 101 Northwest Point Boulevard, Elk Grove Village, Illinois 60007 .
